Terms govern services provided by Rise and Lume Ltd:
They cover how we accept instructions, handle fees, process payments, handle delivery, address intellectual property liability, and include other standard contract clauses. Specific project proposals or signed agreements take precedence over these terms to the extent they modify them.
Full terms
1) Parties and scope:
These terms apply to services provided by Rise and Lume Ltd and form the standard terms for publishing, editing, design, distribution, marketing, and related services. Specific project proposals, invoices, and signed agreements prevail over these terms to the extent they expressly modify them.
2 ) Acceptance:
A proposal invoice or written confirmation constitutes an offer. Acceptance occurs upon payment of the required deposit or upon signing the proposal
3 ) Fees and payment:
Fees are as stated in the proposal or invoice. Deposit and payment terms are stated on the invoice. Late payment may incur interest and result in service suspension.
4 ) Delivery and client obligations:
Timelines are estimates and depend on timely client feedback and the provision of materials. Delays caused by the client may extend delivery times and may incur additional charges.
5 ) Intellectual property:
Authors retain copyright in manuscript content. On full payment, Rise and Lume Ltd grants the client a licence to use deliverables as set out in the project agreement. Rise and Lume Ltd may use non-confidential project material for promotion only with the client's consent.
6 ) Warranties and indemnities:
The client warrants that materials supplied do not infringe third-party rights and indemnifies Rise and Lume Ltd against claims arising from breach of this warranty
7 ) Liability To the maximum extent permitted by law, Rise and Lume Ltd:
Total liability for loss or damage arising from the services shall not exceed the amount paid for the specific project. We are not liable for indirect or consequential loss, including loss of profits.
8 )Force majeure:
Neither party is liable for delays caused by circumstances beyond reasonable control, including platform outages, changes in law, strikes, or natural events. If force majeure continues for more than sixty days, either party may terminate and receive or pay a pro rata amount for unperformed services.
9 )Termination:
Either party may terminate for material breach if the breach is not remedied within fourteen days of written notice. On termination, the client pays for work performed and any non-refundable third-party fees.
10 )Confidentiality:
Both parties will treat confidential project information as confidential and will not disclose it except as required to perform the services.
11 )Data protection:
Processing of personal data is governed by the Privacy and Data Policy. Where Rise and Lume Ltd processes personal data on behalf of a client, a separate data processing agreement may be used
12 ) Third-party platforms:
Rise and Lume Ltd is not responsible for third-party platform policies or changes. Platform acceptance payment schedules and royalty calculations are subject to the terms of respective platforms.
13 )Governing law:
These terms are governed by the laws of England and Wales, and the parties submit to the non-exclusive jurisdiction of the English courts.
